These Terms constitute a legally binding agreement between you and Tyler's Consulting & Automation Ltd. ("we," "us," or "our"). If you do not agree to these Terms, please do not use our services.

Important: These Terms contain an arbitration clause and class action waiver. Please read Section 7 carefully.

Services Description

We provide the following professional services to our clients.

Website Deployment & Development

AI-powered website creation, deployment, and development services. Initial development completed within 1 week, with further improvements based on project complexity.

Monthly Website Maintenance

Ongoing website maintenance including security updates, performance optimization, content updates, and technical support.

Automotive & Fleet Consulting

Expert consulting for individual automotive purchases and business fleet optimization, including cost reduction and operational efficiency strategies.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of any significant changes to our services.

User Obligations

By using our services, you agree to the following obligations.

You Agree To:

  • Provide accurate, current, and complete information when requested
  • Maintain the security of your account credentials and access
  • Notify us immediately of any unauthorized access or security breach
  • Use our services only for lawful purposes and in accordance with these Terms
  • Pay all fees and charges associated with your use of services

You Must Not:

  • Use our services for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction when using our services
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Transmit any viruses, malware, or other malicious code

Intellectual Property

Ownership of content, designs, and materials created for you.

Our Intellectual Property

All content, designs, code, graphics, logos, and other materials on our website are the property of Tyler's Consulting & Automation Ltd. or our licensors and are protected by copyright and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any of our proprietary materials without our prior written consent.

Client Deliverables

Upon full payment, you will own the final deliverables created specifically for you as outlined in your service agreement. This typically includes:

  • Final website designs and layouts (for custom work)
  • Custom content and copy created for your project
  • Specific graphics and images created exclusively for you

We Retain Ownership Of:

  • Pre-existing tools, frameworks, and methodologies
  • General concepts, techniques, and know-how developed during the project
  • Stock images, fonts, and third-party materials incorporated into your project
  • Work-in-progress materials and source files unless otherwise agreed

Payment Terms

Terms and conditions for payments and billing.

Fees & Pricing

  • • All fees are quoted in USD unless otherwise specified
  • • Prices are subject to change with 30 days notice
  • • Custom quotes provided during consultation
  • • Volume discounts available for multiple projects

Payment Schedule

  • • 50% deposit required to begin work
  • • Remaining 50% due upon project completion
  • • Monthly retainers billed on the 1st of each month
  • • Net 15 payment terms for approved invoices

Payment Methods

  • • Credit and debit cards (Visa, Mastercard, Amex)
  • • Bank transfers (ACH)
  • • PayPal
  • • Stripe Checkout

Late Payments

  • • 1.5% monthly interest on overdue balances
  • • Work may be paused after 30 days overdue
  • • Collection fees added to outstanding balances
  • • Legal action may be taken for unpaid debts

Refunds: Due to the custom nature of our services, deposits are non-refundable once work has begun. Any refund requests must be made in writing within 7 days of project initiation.

Limitation of Liability

Important limitations on our legal responsibility to you.

To the fullest extent permitted by applicable law, Tyler's Consulting & Automation Ltd. and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption or downtime
  • Cost of substitute services
  • Reputation or goodwill damage
  • Any other indirect or consequential loss

Our Total Liability

Our total cumulative liability arising out of or related to our services shall not exceed the total amount of fees paid by you to us in the twelve (12) months preceding the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

Consumer Rights: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If such laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.

Termination

Conditions under which either party may end this agreement.

Your Right to Terminate

You may terminate your agreement with us at any time by:

  • • Providing written notice via email
  • • Allowing 30 days for service wind-down
  • • Settling any outstanding balances
  • • Requesting transfer of your website (if applicable)

Our Right to Terminate

We may terminate or suspend your access immediately, without prior notice, for:

  • • Breach of these Terms of Service
  • • Non-payment of fees or charges
  • • Fraudulent or illegal activity
  • • Conduct harmful to other users or us

Effect of Termination

Upon termination:

  • Your right to use our services will immediately cease
  • Any outstanding fees become immediately due
  • We will provide reasonable assistance with data export (where applicable)
  • Certain provisions will survive termination (Intellectual Property, Limitation of Liability, etc.)

Governing Law & Disputes

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

If you are accessing our services from outside the United Kingdom, you agree to comply with all applicable local laws and regulations.

Dispute Resolution

We encourage open communication and aim to resolve any disputes quickly and amicably. If a dispute cannot be resolved informally, we agree to the following:

  • Good faith negotiation between parties
  • Mediation as an alternative to litigation
  • Binding arbitration in accordance with applicable rules

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Note: If you are a consumer with statutory rights under your local law, those rights are not affected by these Terms. This arbitration clause does not apply to consumers in the EU or UK where mandatory consumer protection laws apply.
